.TX1 *** DEED TO BE DELIVERED TO PURCHASER - REALTY SALE ********
{!PARNO}. Deed. The deed shall be the usual {WARRANTY/QUITCLM}
Deed in proper statutory form for record, and shall be properly
executed and acknowledged and have revenue stamps in the proper
amount affixed thereto by the Vendor, at the Vendor's expense, so
as to convey to the Purchaser the fee simple title to the
premises, free from all liens and encumbrances, except as
specifically provided herein.
.TX2 *** TITLE TO MEET REQUIREMENTS OF TITLE INSURANCE COMPANY **
{!PARNO}. Title Insurance Requirement. The Vendor shall give
and the Purchaser shall accept such title as a title insurance
company permitted to do business in the State of {STATE_NAME}
will approve and insure in the amount of {TOTAL_PRICE}, subject
to the exceptions herein set forth, at its regular premium; and
if the title prove not insurable by one of the aforesaid
insurance companies at its regular premium, then the deposit paid
hereunder is to be returned to Purchaser without any claim for
damages to either party.
.TX3 *** PERSONAL PROPERTY INCLUDED WARRANTY OF TITLE ***********
{!PARNO}. Fixtures and Personal Property. All fixtures and
articles of personal property attached or appurtenant to or used
in connection with the premises are represented to be owned by
the Vendor, free from all liens and encumbrances except as herein
stated and are included in this sale; without limiting the
generality of the foregoing, such fixtures and articles of
personal property include plumbing, heating, lighting and cooking
fixtures, air conditioning fixtures and units, ranges,
refrigerators, radio and television aerials, bathroom and kitchen
cabinets, mantels, door mirrors, venetian blinds, storm doors,
mail boxes, weather vanes, flagpoles, pumps, shrubbery and
outdoor statuary.
.TX4 *** POSSESSION OF PURCHASER - REALTY SALE ******************
{!PARNO}. Possession, Rents and Profits. The parties agree that
the Purchaser may enter into and take possession of the premises
on {POSSESSION_DATE} and from that date forward shall be entitled
to all rents, issues and profits thereof to his own use and
benefit.
.TX5 *** APPORTIONMENT OF ITEMS - REALTY SALE *******************
{!PARNO}. Apportionment. The following items are to be
apportioned as of the date of the delivery of the deed hereunder:
rents as and when collected, interest on mortgages, insurance
premiums, taxes, water charges, sewer rents, heating fuel and
service, and garbage removal.
.TX6 *** RISK OF LOSS ON VENDOR UNTIL DELIVERY OF DEED **********
{!PARNO}. Risk of Loss. The Vendor assumes all risks and
liability for loss, damage or injury by fire, windstorm, accident
or other causes to the premises until the delivery of the deed
and further agrees that, should the premises suffer any damage
beyond ordinary wear and tear, he will repair the damage before
the date for delivery of the deed herein, or the Purchaser shall
be allowed to deduct from the purchase price an adequate amount
to effect such repairs.
.TX7 *** ASSESSMENTS TO BE PAID BY VENDOR ***********************
{!PARNO}. Assessments. If at any time before the delivery of
the deed, the premises or any part thereof shall be or shall have
been affected by any assessment or assessments, which are or may
become payable in annual installments, of which the first
installment is then a charge or lien, or has been paid, then for
the purposes of this contract all the unpaid installments of any
such assessment, including those which are to become due and
payable after the delivery of the deed, shall be deemed to be due
and payable and to be liens upon the premises affected thereby
and shall be paid and discharged by the Vendor, prior to delivery
of the deed.
.TX8 *** CONDITION OF IMPROVEMENTS - INSPECTED & ACCEPTED *******
{!PARNO}. Inspection by Purchaser. Purchaser has inspected the
buildings on the premises and the personal property included in
this sale and is thoroughly acquainted with their condition.
Purchaser agrees to purchase them "as is" and in their present
condition subject to reasonable use, wear, tear and natural
deterioration between now and the date for closing. Purchaser
shall have the right, after reasonable notice to Vendor, to
inspect them before closing.
.TX9 *** WARRANTIES AND REPRESENTATIONS DISCLAIMER **************
{!PARNO}. Warranties and Representations. The Purchaser
acknowledges that he, or she, has not been influenced to enter
into this transaction nor has he, or she, relied upon any
warranties or representations not set forth or incorporated in
this agreement or previously made in writing, except for the
following specific and additional warranties and representations,
if any, made by either the Vendor or the broker:

.TX10 *** ORAL MODIFICATIONS TO REALTY SALE NOT PERMITTED ******
{!PARNO}. Modification of Agreement. This agreement may not be
changed orally, but only by an agreement in writing signed by the
party against whom enforcement of any waiver, change,
modification or discharge is sought.
